Terminal operations in Lagos State, has necessitated the recruitment of a
self-motivated and experienced individual with proven performance track
record and excellent references to fill the position below:
Job Title: Deputy Group Company Secretary
Location: Lagos
Job Summary
- Reporting to the Group Company Secretary, he/she is responsible
for ensuring that the unit companies in the Group comply with financial,
legal and statutory requirements and maintain high standard of
corporate governance.
Responsibilities
- Organising and preparing agendas and papers for board meetings, committees and annual generai meetings (AGMa);
- Taking minutes, drafting resolutions, lodging required forms and annual returns with the Corporate Affairs Commission;
- Liaising with the Ministry of the interior regarding expatriate
quota positions in the Group and filing monthly returns of expatriate
quota with the Immigration Department;
- Advising members of the legal, governance, accounting and tax implications of proposed policies;
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
- Liaising with external consultants and advisers, such as solicitors and auditors;
- Following up on actions from meetings;
- Maintaining statutory books, including registers of members, directors and secretaries;
- Dealing w,th correspondence, collating information and writing
reports, ensuring decisions made are communicated to the relevant
company stakeholders;
- Paying dividends and managing share option schemes;
Qualifications
- Holder of a university first degree in Humanities or Law (LLB, BL);
- Membership of the Institute of Chartered Secretaries and Administrators of Nigeria (ACJI/FCIS) is essential;
- Proficiency in MS Office Word, Excel, Power Point and Outlook;
- Aged between 35 and 45 years;
- Not less than 7 years statutory secretarial experience in a reputable firm or an industrial/ commercial concern.
Skills:
- Verbal and written communication skills;
- Integrity and discretion when handling confidential information;
- A sound grasp of corporate governance issues;
- Diplomatic skills, paying meticulous attention to detail, good
numerical, organizational and time management skills and a genuine
interested in business.
- Interpersonal skills and the ability to work with sevell people at all levels;
- Attention to detail ends well-organised approach to work;
- The ability to prioritise work and to work well under pressure;
- Team-working skills;
