Job Summary
- Responsible for Corporate & Commercial advisory services, negotiation and contract management, client management, networking and business development and other management responsibilities as may be delegated from time to time.
Job Description
- We require the services of a strategic lawyer and business partner, a consummate legal professional with a strong personality with the ability to generate business / own client list for the firm.
- Must have a transformative mind set, visionary and goal oriented, a team player, enthusiasm to acquire and share knowledge, self-disciplined, self-starter with good people management and leadership skills.
- The position requires someone with high level of integrity, ethical in dealings, who conscientiously strives for excellence and accountable for their conduct.
Responsibilities
- Meets with clients and cultivates a strong client / lawyer relationship.
- Understand and interpret Capital Market Rules, Codes and Regulations. Advice on Project and Asset finance transactions as well as Capital Market transactions.
- Draft, review, negotiate and interpret complex commercial agreements in support of a broad spectrum of business initiatives.
- Actively engage in transactional, joint venture and M&A due diligence reviews, document preparation and negotiations, ensuring compliance with applicable national and international laws and regulations.
- Proffers legal opinions and draft agreements on a stand-alone basis, draft and review loan and security documentation.
- Participates in transactions structured meetings to meet client needs, provide responses to client matters with minimum supervision.
- Maintain an active network of industry contacts, including within clients, trade associations, regulators, industry publications and public authority. Creating relations of trust.
- Provide professional timely support to Company Secretarial department to help meet regulatory and compliance requirements.
- Providing leadership for the effective implementation, measurement and oversight of business development and ability to maintain and grow clientele base.
- Drafting high quality legal articles and briefings, including leading and coordinating thought leadership on developments in the market.
- Attend meetings and represent the Managing Partner at relevant Fora.
- Developing the required KPI’s for the Department and to ensure the delivery of 1st class services.
- Keeps current and accurate time records and ensures billing responsibilities are discharged properly.
- Follows up on debit notes promptly.
- Supervises all Associates and provide leadership and mentorship to senior associates and other associates.
- Fulfil other responsibilities as delegated or assigned by the Managing Partner.
- Ensuring KPI’s are met.

Job Specification
- A law degree with 7-10 years’ experience or above and at least 3 years of supervisory experience
- Masters’ Degree in Law is an added advantage
- Active member of relevant professional Association.
Candidate Experience:
- Proven track record of strong performance managing against deliverables
- Investment banking experience, capital market and corporate advisory transactional experience
- Experience within the legal function of a listed company, top tier capital market or financial industry operator
- Strong understanding of securities laws and a good understanding of laws affecting the capital markets, SEC, NSE rules and CAMA.
