Job Title: Legal Associate (Senior & Junior)

Location: Abuja (FCT)

Responsibilities

  • Management of the day-to-day activities of the Organisations
  • Strategic oversite to all business support functions
  • Plan, Coordinate, Direct and Responsible for high level leadership in area of Operations management, business process & structure, client and business development, client and stakeholders management, talent management, customer relations/engagement, finance & internal control.
  • Act as Advisor to Partnership, providing subject matter input into strategy formulation and implementation.
  • Sets and monitor performance and operational metrics for the Firm to increase organisational efficiency.
  • Overall Management of Assignment of different issues
  • Advising on day-to-day business affairs and activities of Organisations
  • Generate business opportunities for the organisation.
  • Analyse firms’ strategy and
  • Innovate business development initiatives.
  • Review and revise project deliverable developed by team members to maintain high standard of professional service.
  • Build and maintain productive working relationships with clients.
  • Working with Start-Ups and MSMEs on compliance and any other business Governance issues
  • Lead, Motivate and Manage team of Lawyers.
  • Coach, Support and provide guidance and on-the-job trainings to Associates.
  • Advising clients on diverse subject matters and a broad range of Law
  • Providing legal advice and measures to avoid disputes to clients.
  • Advise clients on how to protect their interests in the event of disputes.
  • Drafting Legal Instruments
  • Corporate Governance for clients
  • Provide Company Secretariat Services to clients.
  • Spearhead and manage projects to support the clients in ensuring law compliance or dealing with legal issues encountered during business.
  • Undertake other project and firm development works as required.

The Senior Legal Associate will:

Qualifications

  • Professional qualifications i.e., LLB, BL, LLM
  • Enthusiasm for working with young organizations/start-ups.

Advisory- Registration:

  • Effectively advises and assists clients with the legal and regulatory requirements for doing business in Nigeria, including registration under Parts A-C, choosing the optimal form of business organisation suitable for the client's purpose,
  • obtaining applicable regulatory permits,
  • post incorporation obligations and taxation of companies and foreign workers.

Advisory- CAMA:

  • Effectively advises clients on compliance with the Companies and Allied Matters Act (CAMA), including statutory notice periods for meetings and corporate actions.

Regulatory Matters:

  • Understands the industry related regulatory matters for client industries.
  • Effectively applies knowledge of the regulatory issues, rules/guidelines, resolutions, agency processes and operations to support clients’ briefs. Examples include for NAFDAC, NERC, etc.

Advisory -Shareholding:

  • Effectively advises clients on appropriate shareholding structure, classification and issuance of shares, rights of shareholders and shareholders agreements in line with the client's business strategy and objectives.

Advisory – Corporate Governance:

  • Effectively advises clients on corporate governance requirements, including composition of the Board of Directors, appointments / removals / remuneration of Directors, Board Committees, and other governance-related regulatory requirements.

Tax:

  • Understands the Corporate Tax regime and how it applies to the different company structures, including Tax computations and filings.
  • Effectively applies this knowledge to assist clients in compliance and business optimization.

Document Drafting:

  • Drafts accurate and thorough corporate resolutions, corporate records, articles of association, shareholder agreements and corporate documentation.

Research:

  • Conducts effective and timely research.
  • Able to quickly identify relevant sources, sort through voluminous data to pull out critical information and present findings in an organized and analytical manner.

Bankruptcy:

  • Understands the bankruptcy process, including the steps, requirements, and implications at each stage.

Compliance:

  • Understands the Anti-Bribery and Corruption (and similar) Laws, and can identify potential issues, advise clients, and provide insight on potential mitigating strategies.

Evidence:

  • Understands the practicability of the law with regards to evidence and effectively applies this to client briefs and transactions.

Due Diligence:

  • Effectively conducts due diligence and other investigations; and manages the process.
  • Identifies key corporate documents and material transactions and generates thorough and complete reports that identify and clearly communicate all elements of the investigation.

Commercial & Corporate:

  • Demonstrates knowledge of corporate and contract law, partnership, and regulatory obligations such as statutory returns, filings, licensing, taxes, and property rights and applies these effectively in client advisory or transactions.

Due Diligence:

Transaction Flow:

  • Analyzes Real Estate Transactions and develops an accurate and effective transaction flow.
