Job Title: Governance Supervisor
Location: Lagos
Job Summary
- Provide Corporate Governance advisory services for effective operations of the Group Governance Office and ensure the efficient administration of the Company’s governance framework whilst realizing business objectives, preserving corporate integrity, mitigating, and minimizing legal and financial exposure.
Responsibilities
- Develop and maintain policies and procedures for the effective operation of the group’s corporate governance and compliance programs designed to prevent illegal, unethical, or improper conduct, and manage the day-to-day operation of the programs.
- Act as an independent reviewer and evaluator to ensure that all governance issues/concerns within the Group are being appropriately evaluated, investigated, and resolved.
- Respond to alleged violations of rules, regulations, policies, procedures, and Code of Conduct by evaluating and recommending the initiation of investigative procedures; and oversee the system for uniform handling of such violations.
- Identify potential areas of compliance vulnerability and risk within the various units and entities across the Group and develop/implement corrective policies, processes, and action plans to mitigate such risks from manifesting.
- Provide comprehensive governance and company secretarial services that effectively support the Board of Directors, its Committees and Shareholders in general meetings to assist with smooth deliberations and the implementation of its resolutions.
- Prepare training material and facilitate the delivery of governance training and inductions to all employees, directors, and business partners on relevant Governance policies.
- Conduct risk-based integrity due diligence, AML/KYC due diligence, Sanctions on entities, business partners and vendors whilst supporting the company’s risk management and procurement framework, contribute and implement corruption prevention strategies and programs, sanctions compliance program, a related party, gift and benefits program etc.
- Liaise with regulatory authorities in relation to ongoing Group/entity compliance obligations (Local Content, NEITI, UNGC etc.) across all the relevant jurisdictions of operation and also contribute to developing the corporate strategy required for the engagement of internal and external stakeholders.
- Take responsibility for the drafting and review of the Group and entity Annual Report and Sustainability Report to ensure compliance with all required reporting obligations.
- Work closely with the Governance Manager and Head, Governance in delivering key enabling processes as set out in the Company’s Governance Framework to facilitate efficient and effective service delivery to the Board, Group Leadership, and the Company in general.
- Provide transaction advisory support on internal and external restructurings, financing transactions, credit agreements, securitization programs, debt and equity, public offerings and private placements of debt, swaps, share repurchase programs and other finance-related matters on a global basis in all regions where the Company operates.
- Ensure that all SEC, NGX, JSE and other regulatory filings relating to mergers and acquisitions and finance transactions are made in conformity with continuous disclosure obligations.
- Accurately review and renew governance information for updates in legislation & regulations relating to the business of the company.
- Provide advice on the right structure for the incorporation of new entities.
- Perform such other functions as may be assigned by the Governance Manager & Chief Compliance Officer & Company
Key Performance Indicators:
- Quality of advice on strategic, corporate, and annual planning and reporting processes
- Adequacy and effectiveness of the provision of necessary support, information, etc. to the Board of Directors
- Timely corporate filings in all jurisdictions with zero occurrences of fines and penalties for late filings.
- Effective support for the development and enforcement of the Company’s governance framework, policies, and procedures.
- Cost-effectiveness of AGMs, EGMs etc.
Person Specification
- A Degree in Law or relevant Business qualification.
- A minimum of 5 years of relevant work experience assisting in the management of company secretarial, ethics and compliance department.
- Professional qualifications such as ICSA, ACA or a certification in Ethics & Compliance and Sustainability would be an added advantage.
