  • This role is individually accountable for supporting the team in establishing and embedding compliance through own efforts, as well as supporting the team in facilitating corrective action where required.
  • He or she will work under direct supervision.
Description
  • Assists in mitigation of compliance risk.
  • Influence is limited to specific assigned functional area or less complex BU.
  • Utilises limited legislation, and impact of legislation on the BU/functional area is limited.
  • Provides relevant support to the Corporate Governance team as required by the department head
Key Result Areas Compliance:
  • Assists in resolution of compliance breaches.
  • Assists in mitigation of compliance risk.
  • Utilises limited legislation and in all probability, the impact of the legislation on the business unit/functional area is limited.
  • Supports the Chief Compliance Officer with the effective co-ordination and execution of compliance monitoring exercises
  • Reviews relevant laws and monitors the regulatory universe

  • This role manages risk & compliance processes and structures for all Old Mutual Nigeria businesses , providing legal advice as required through others.
  • It is also individually accountable for promoting the development of reporting structures to meet information requirements of the CEO & EXCO of all Old Mutual Nigeria businesses and also for risk aggregation & concentration of risk exposure in OMN.
Description
  • Establishes & embeds compliance across the business unit by analysing the impact of applicable legislation and regulation and applying this to business processes and procedures.
  • Ensures compliance by the business unit with applicable legislation by means of the implementation of compliance risk management & monitoring plans.
  • Reports compliance breaches to business unit management.
  • Facilitates, & in appropriate circumstances partakes in, remedial actions developed by the business unit to help eliminate non-compliance with legislation & regulation.
  • Represents Old Mutual Nigeria businesses on litigation matters OMGICN & OMNILAC).
  • Accumulates all pertinent facts, identifies relevant issues, researches applicable legal principles & applies them to the facts.
  • Provides legal opinions/comments on legislation.
  • Drafts contracts.
  • Provides company secretarial, corporate governance & administrative services to OMN Group. Ensures that Corporate Governance guidelines & Companies Act requirements are adhered to.
  • Reports to the Group CEO, Old Mutual West Africa
Key Result Areas Company Secretarial Services:
  • Provides company secretarial, corporate governance & administrative services to the Old Mutual Group in Nigeria through other managers and their teams.
Reporting:
  • Promotes development of reporting structures for risk aggregation & concentration of risk exposure.
  • Ensures risk aggregation reports and management risk self-assessment results are produced and provided.
Risk Management:
  • Develops, communicates & assists in implementation of Enterprise Risk management policy, supporting guidance & procedures.
  • Provides oversight for risk management activities, ensuring Group Risk Policy statements are met through other managers and their teams.
  • Provides challenges to risk management information received from reporting entities through other managers and their teams.
  • Drives operational excellence throughout the area of supervision.
  • Defines and implements risk best operating practice.
  • Defines performance parameters (incl. balanced scorecard) and measurements for area under supervision.
Compliance:

Requirements, Qualifications and Experience
  • Bachelor's degree in Law
  • Master's degree an advantage
  • Very Good knowledge of the Companies Act, NAICOM (Local regulators’) policies, Corporate Governance policies and Compliance Laws.
  • Working knowledge of tax laws
  • A minimum of 12 years’ work experience
  • Experience in management of team.
