We are recruiting to fill the position of:
Job Title: Legal Counsel, Corporate Commercial
Location: Lagos
Reports To: Senior Legal Counsel, Corporate Commercial
Summary
- Assist in drafting, negotiating and executing all contracts and ensuring all executed contracts are available to internal users for direct application.
Responsibilities
- Work closely with internal stakeholders to ensure that contracts are properly negotiated to achieve the company’s objectives.
- Draft, review and close commercial agreements.
- Provide legal advisory to assigned functions as required.
- Draft correspondences to customers, vendors and regulatory authorities.
- Document, file and store all agreements and correspondence.
Education and Experience
- Bachelor’s degree in Law.
- Minimum 2 years’ relevant work experience.

Job Title: Senior Legal Counsel, Corporate Commercial

Summary
- Aid senior management’s decision-making through identification, analysis and assessment of legal risks and provision of legal guidance, advice and opinions to relevant departments in order to guide their transactions and dealings with third parties, government institutions, and regulators.
Responsibilities
- Serve as lead counsel in supporting internal functions across a wide range of commercial transactions with both vendors and customers, dealing with customers needing complex non-standard products and services, as well as other third parties in business development projects in accordance with company guidelines and policies, thus contributing towards achievement of company growth targets through closure of profitable business agreements.
- Demonstrate thorough understanding of principles of all legal issues relating to asset transfers and regulatory issues within the context of multi-jurisdictional projects as well as ability to recognize when and whom to escalate issues to and whom to engage for specialist advice.
- Understand regulatory/ competition issues sufficiently to spot issues in proposed bid submissions and/ or supplier negotiations and mitigate risk via contractual means by advising on effective compliance measures and/ or advocacy.
- Create commercial business models which are appropriate to individual customer’s requirements while ensuring protection of IHS’s interests.
- Collaborate with other functional areas to ensure consistency and competitiveness in contractual approaches.
- Develop clear understanding of customers’ requirements and champion the requirements within the business, and, where appropriate, drive these requirements to changes in contracting practices.
- Provide legal advice and guidance regarding all aspects of business operations, policies, and practices.
- Maintain and improve relationships with other teams across IHS Legal Department.

- Identify, own and mitigate commercial risks arising from proposed deals through provision of creative legal commercial solutions.
- Support Supply Chain function in negotiating and standardizing key commercial contracts.
- Draft and negotiate high-volume business contracts and commercial agreements such as Confidentiality, Infrastructure Sharing, Service Level, and Master Lease Agreements.
- Work closely with business teams to assist in negotiations, summarize and communicate legal concepts, and draft contracts.
- Advise functional teams to enable understanding of legal contexts, complex agreement structures, issues and risks, approval processes, company policies and procedures, and business strategies.
Requirements
Education and Experience:
- Bachelor's degree in Law; Master’s will be an added advantage.
- Minimum of +6 years’ relevant work experience.
